N-VUE LLC — TERMS & CONDITIONS
Professional Nondestructive Testing & Inspection Services
Effective: 2025
1. DEFINITIONS
“Company” refers to N-VUE LLC, an Arkansas limited liability company.
“Client” refers to the individual or entity requesting services.
“Technician” refers to N-Vue Level I/II personnel performing inspections.
“Level III Oversight” refers to N-Vue’s internal supervision, certification, procedure development, and interpretation functions performed by N-VUE LLC.
“Services” refers to nondestructive testing and inspection including UT shear-wave and thickness, MT, PT, VT, Level III consulting, procedures, AWS/D1.1, API, and ASME-related work.
2. SCOPE OF WORK
N-VUE LLC agrees to perform NDT services limited to the methods, locations, and components explicitly stated in the Client’s approved quote or work order.
Services Do NOT Include:
Structural design, engineering, load rating, or fitness-for-service determinations
Welding, repair, or acceptance/rejection decisions beyond code-defined criteria
Guarantee of weld quality, long-term performance, or equipment integrity
Inspection beyond direct access areas or beyond the stated scope
Rope access, high-angle work, or tasks requiring climbing gear (not provided by company)
N-Vue LLC’s responsibility is limited to detecting and reporting indications present at the time of the inspection using industry-accepted NDT methods.
3. NO WARRANTY / NO GUARANTEE
N-VUE LLC makes no warranty, expressed or implied, that any structure, weld, component, crane, pipeline, bridge, or piece of equipment is free from defects.
NDT cannot guarantee detection of all discontinuities due to geometry, access, surface conditions, orientation of flaws, material properties, or environmental factors.
Reports reflect conditions at the time of inspection only.
4. LIMITATION OF LIABILITY
To the fullest extent permitted by law:
N-VUE LLC’s total liability is strictly limited to the amount paid by the Client for the specific inspection work performed.
N-VUE LLC shall not be liable for:
Consequential damages
Loss of production
Loss of profit
Equipment failure after inspection
Delays, shutdowns, or incidental damages
Claims arising from welding, fabrication, design, or operation
Third-party reliance on reports without written consent
This limitation applies even if N-VUE LLC was advised of the possibility of such damages.
5. INDEMNIFICATION
The Client agrees to indemnify and hold harmless N-VUE LLC, its employees, technicians, Level III oversight personnel, and subcontractors from claims related to:
Improper welding or repair
Fabrication defects
Failure of equipment or structures
Improper operation of cranes, pipelines, rail systems, or refinery equipment
Unsafe customer conditions
Acts or omissions by the Client’s personnel
Misuse or misinterpretation of reports
6. CLIENT RESPONSIBILITIES
Client must provide:
Safe access to all inspection areas
All required lifts, scaffolds, or access equipment
Surface preparation (grinding, cleaning, weld prep)
Adequate lighting
Removal of coatings or materials obstructing inspection
Proper site safety compliance (LOTO, confined space, fire watch, etc.)
Shutdowns or isolation of equipment as required
Coordination with welders and crews
Delays caused by Client are billed as standby time.
7. STAFFING & LEVEL III OVERSIGHT
N-VUE LLC provides certified Level I/II personnel for field work under the oversight of the Company’s Level III program.
Level III duties provided by N-VUE LLC may include:
Procedure development
Code interpretation (AWS, API, ASME)
Training and qualification of technicians
Report review
Consulting
Program supervision
Level III oversight does not imply personal liability of any individual cert holder.
All responsibilities reside solely with N-VUE LLC.
8. TRAVEL, MOBILIZATION & MINIMUMS
A) Minimum Charges
8-hour minimum per day for all field work
B) Mileage
$1.00 per mile portal-to-portal
C) Travel Time
Billed at full hourly rate for every 55 miles traveled
D) Standby Time
For multi-day projects:
Billed at per diem plus a 4-hour minimum for standby days
Standby due to Client delays is billable
E) Weekends, Overtime & Holidays
Over 8 hours/day: billed at overtime rates per the quote’s rate sheet
Weekends: overtime rate
Holidays: 1.5× straight time
9. RE-INSPECTION POLICY
If any weld, area, or component requires re-inspection:
Re-inspection is billed at full standard rates
Travel and minimums apply again
This includes:
Repairs
Grind-outs
Touch-ups
Failed welds
“Quick checks”
Additional areas not originally included in the scope
10. REPORT OWNERSHIP & USAGE
All reports, images, and data are the property of N-VUE LLC
Client is granted a license to use the report for internal purposes
Client may not alter or modify reports
Reports may not be released to third parties without written approval
N-VUE LLC may retain copies for legal, training, and quality purposes
11. CANCELLATION POLICY
To avoid charges:
Cancellations must be received by 4:00 PM the business day prior to scheduled service.
Otherwise:
Full 8-hour day minimum will be billed
On-site cancellations will be billed at full day + mileage + travel
12. SPECIAL HAZARDS
The following environments are accepted with prior notice:
Bridges
Cranes
Refineries
Pipelines
Confined spaces
Railroads
N-VUE does NOT perform rope access or high-angle climbing.
Client must ensure all safety compliance for the applicable hazard category.
13. GOVERNING LAW
This agreement is governed by the laws of the State of Arkansas.
Any dispute shall be resolved in a court of competent jurisdiction within Arkansas.
14. ENTIRE AGREEMENT
These Terms & Conditions govern all work performed by N-VUE LLC and supersede any purchase order language unless exceptions are agreed to in writing.
